GB Avocats was founded in 2011 and renamed in 2018. It is an independent and multidisciplinary Luxembourgish Law firm specializing in corporate law, tax law (natural and legal persons), financial law and investment funds, securitisation and capital market law.
Its small size allows GB Avocats to effectively respond to the demands of its clients by guaranteeing them a strong commitment with a clear understanding of their needs and concerns. Through rigor, technical and strategic expertise and their ability to propose innovative solutions, GB Avocats are able to successfully assist their clients in carrying out their projects.
GB Avocats client base consists mainly of Luxembourgish and international companies, institutional financial groups (real estate and private equity), financial entrepreneurs, family offices, and asset managers acting on behalf of their clients both in Luxembourg and abroad.
Within the framework of the mandates entrusted to GB Avocats, they are involved at various stages of the projects both in the design and advice on the projects and in the implementation as well as in drafting the legal acts and other documents (expert legal opinions, statutes and relevant contracts, shareholders agreements, mergers/acquisition and group restructuring projects, investment fund issue documents, securities offer documents and prospectuses relating to listing financial instruments, etc…).
GB Avocats also regularly acts on behalf of its clients when dealing with the Luxembourgish public authorities such as the Tax Administration, the Ministry of Small Firms and Traders (in order to obtain authorisation for commercial approval) and the Financial Sector Supervisory Commission – CSSF (to obtain licences to exercise financial services in the European Union).
In addition to ad hoc support GB Avocats offers tailor made services based on their clients needs. GB Avocats offers the secondment of a lawyer assigned to specific tasks who is present in the clients offices for a defined period of time and at a preferential rate, as well as specific follow up missions over a long period of time on dedicated projects (governance and company legal secretary or multi annual monitoring of transparency obligations following listing on the stock exchange).
